Terms of Service

1. Agreement to Terms
These Terms of Service (“Terms”) govern your access to and use of the Seshn API, dashboard, documentation, SDKs, and related services (collectively, the “Service”) provided by Seshn (“we,” “us,” or “our”).
By creating an account, generating an API key, or using the Service in any way, you agree to be bound by these Terms, our Privacy Policy, and our Acceptable Use Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. You must be at least 18 years old to use the Service.
2. Definitions
- “Customer” or “you” means the individual or entity that registers for and uses the Service.
- “End User” means any person who books an appointment or interacts with scheduling functionality through your integration with the Service.
- “Customer Data” means all data you submit to or transmit through the Service, including booking records, End User information, schedules, and configuration.
- “Booking Data” means appointment details, availability, attendee information, and related scheduling data that flows through the API.
- “API Key” means the authentication credential issued to you for accessing the Service.
- “Documentation” means the API documentation, guides, and SDK references available at seshn.net/docs.
3. The Service
Seshn provides a headless booking API for programmatic management of appointments, availability, and scheduling. We are an infrastructure provider — not the booking service itself. There is no direct contractual relationship between Seshn and your End Users. You are responsible for the booking experience you deliver to your End Users using our API.
4. Account Registration and API Keys
You must provide accurate and complete information when creating an account. You are responsible for safeguarding your API keys and must treat them as confidential credentials. You are liable for all activity that occurs under your API keys. Notify us immediately at hello@seshn.net if you believe an API key has been compromised. We may rotate or revoke API keys at any time for security reasons.
5. Permitted Use and Restrictions
You agree to use the Service only in accordance with these Terms, the Documentation, and the Acceptable Use Policy. You may not:
- Reverse engineer, decompile, or disassemble any part of the Service (except as permitted by applicable law).
- Circumvent or attempt to bypass rate limits, quotas, or other technical restrictions.
- Create multiple accounts to increase quotas or evade enforcement.
- Use the Service to build a product that directly competes with Seshn.
- Resell the API as a standalone scheduling product without adding substantial value.
- Sublicense, transfer, or assign your access to a third party without our consent.
6. Free Tier
The free tier is available without payment and is subject to the usage limits published on our pricing page. We may modify, limit, or discontinue the free tier at any time without prior notice. No service-level agreement or uptime guarantee applies to the free tier.
7. Paid Plans, Billing, and Fees
Paid plans are billed on a recurring basis (monthly or annually) at the rates published on our pricing page. By subscribing, you authorize us to charge your payment method automatically at each renewal. Prices may change with at least 30 days' notice, effective at your next billing cycle.
If a payment fails, we will attempt to collect for a reasonable grace period before suspending your access. Fees are non-refundable except where required by applicable law. Usage-based overages are billed at the published per-booking rate. You are responsible for all applicable taxes.
8. Customer Data
You retain all rights to your Customer Data. You grant us a limited, non-exclusive license to process your data solely for the purpose of providing and improving the Service. We will not sell, share, or disclose your Customer Data to third parties except as necessary to provide the Service or as required by law.
You are responsible for the legality of all data you submit, including having obtained all necessary consents from your End Users. You must provide your End Users with a privacy policy that discloses your use of Seshn as a data processor. For details on how we handle data, see our Privacy Policy.
9. Security
We implement commercially reasonable security measures to protect Customer Data, including encryption in transit (TLS) and at rest. In the event of a data breach affecting your Customer Data, we will notify you without undue delay. You are responsible for the security of your own application and integration.
10. Intellectual Property
Seshn and its licensors own all rights in the Service, API, Documentation, SDKs, and trademarks. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service during the term of your account. You own your application code that integrates with our API. Any feedback, suggestions, or ideas you submit about the Service may be used by us without obligation to you.
11. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party. API keys, non-public API features, and pricing terms are considered confidential information. Standard exceptions apply: information that is publicly available, independently developed, or rightfully received from a third party.
12. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that it will meet your specific requirements.
13. Limitation of Liability
To the maximum extent permitted by law, Seshn will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, business interruption, or cost of substitute services, regardless of the theory of liability. Our total aggregate liability for any claims arising out of or related to these Terms or the Service is limited to the fees you paid us in the 12 months preceding the claim, or $100, whichever is greater.
14. Indemnification
You agree to indemnify and hold Seshn harmless from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service, (b) your violation of these Terms or applicable law, (c) your Customer Data, or (d) your End Users' use of your application. We will indemnify you against third-party claims that the Service itself infringes their intellectual property rights.
15. Term and Termination
These Terms are effective upon account creation and continue until terminated. You may terminate at any time by deleting your account. We may terminate for convenience with 30 days' notice, or immediately for cause — including Acceptable Use Policy violations, non-payment, security threats, or legal requirements.
Upon termination, your Customer Data will be available for export for 30 days, after which it will be permanently deleted. Provisions regarding intellectual property, confidentiality, liability limitations, and indemnification survive termination.
16. Service Modifications
We may modify, update, or discontinue features of the Service at any time. For material changes, we will provide reasonable advance notice. We may perform scheduled maintenance with prior notification.
17. Third-Party Services
The Service may integrate with third-party platforms such as payment processors, calendar services, and communication tools. We are not responsible for third-party services, their availability, or their terms. You are responsible for reviewing and accepting any third-party terms that apply to your use of integrations.
18. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or dashboard notification at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance. If you disagree with any changes, you must stop using the Service before they take effect.
19. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law provisions. Any dispute arising under these Terms will be resolved in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction in those courts.
20. General Provisions
- These Terms constitute the entire agreement between you and Seshn regarding the Service.
- If any provision is found unenforceable, the remaining provisions remain in full effect.
- Our failure to enforce any right or provision is not a waiver of that right.
- You may not assign these Terms without our written consent. We may assign our rights to a successor in a merger, acquisition, or sale of assets.
- Neither party is liable for failures caused by events beyond reasonable control (force majeure).
